Terms of Service

These Terms ("Terms") govern the relationship between Numbrz, LLC's subsidiary entities ("Numbrz") and their clients ("Clients") who engage in professional finance and accounting consulting services through a Numbrz Services Agreement. These Terms are a vital part of each Services Agreement, with defined terms in alignment with the Services Agreement.

Relationship and Confidentiality:

Numbrz acts as an independent contractor, not an agent or partner, in providing services. Client information is kept confidential and used exclusively for service provision, with exceptions for public information and third-party sources.

Reliance on Client Information:

Numbrz relies on Client-provided information and doesn't independently verify it. Clients must ensure the accuracy of their information and promptly report any errors.

Default Interest, Fees, and Collection:

Unpaid fees accrue interest, and Numbrz may take various actions to recover outstanding balances, including using collection agencies, reporting to credit bureaus, and legal actions. Standard hourly rates automatically increase by 10% after one year.

Termination of Services:

Either party can terminate the Services Agreement with notice, and Numbrz can terminate immediately if certain conditions are met. Clients remain responsible for fees up to the termination date.

Indemnification:

Both parties agree to indemnify the other for certain claims, subject to specific conditions and exceptions.

Miscellaneous Expenses:

Clients must reimburse Numbrz for additional expenses incurred during out-of-town work or overtime/double-time pay.

Limited Warranty:

Numbrz guarantees diligent, professional, and competent bookkeeping service but disclaims all other warranties. Predictions about future outcomes are uncertain.

Limitation of Liability:

Numbrz's liability is not liable for special, incidental, direct, indirect, punitive, or consequential damages.

Force Majeure:

If events beyond a party's control prevent service performance, obligations are suspended until the situation is resolved.

Integration and Severability:

These Terms and the Services Agreement constitute the entire agreement and supersede all previous communications. If any provision is deemed invalid, the rest remain in effect.

Modifications:

Numbrz may amend these Terms at its discretion, with changes becoming effective upon posting on its website.

Arbitration:

Disputes not related to injunctive or equitable relief will be settled through arbitration in FL.

Legal Disputes:

The prevailing party in a legal dispute can recover its costs and expenses, including attorneys' fees and court/arbitration costs.
